1. Acceptance of Terms

By accessing or using HandbookHub ("the Service"), you agree to be bound by these Terms & Conditions and our Privacy Policy. If you do not agree, please discontinue use of the Service.

IMPORTANT: THESE TERMS CONTAIN AN ARBITRATION AGREEMENT AND CLASS ACTION WAIVER (SEE SECTION 17). PLEASE READ THEM CAREFULLY.

Eligibility

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use this Service. By using the Service, you represent and warrant that you meet this age requirement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Intellectual Property

All content, software, text, designs, and materials available through the Service are owned by or licensed to HandbookHub. You may not copy, distribute, or use any materials without prior written consent.

3. Use of Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. Misuse, including attempts to disrupt, copy, or reverse-engineer the Service, is prohibited.

Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach
  • Ensuring your contact information remains current and accurate

We are not liable for any loss or damage arising from your failure to protect your account credentials or from unauthorized access to your account, except where such access results directly from our negligence.

Slack Integration

If you choose to connect Slack:

  • You authorize us to receive limited workspace information and slash command payloads necessary to operate the integration.
  • You remain responsible for your Slack workspace configuration, channel permissions, and any content shared through Slack.
  • You may uninstall the Slack app at any time. Uninstalling revokes tokens and disables the integration.

Healthcare Data (HIPAA)

We are not HIPAA compliant and do not sign Business Associate Agreements (BAAs). You must not upload, store, or process Protected Health Information (PHI) in HandbookHub or via any integrations (including Slack). If you require HIPAA support, contact us to discuss feasibility and timelines.

AI-Generated Content

HandbookHub uses artificial intelligence ("AI") provided by third-party services (including OpenAI) to generate, suggest, and enhance content. By using AI features, you acknowledge and agree:

  • No Warranty of Accuracy: AI-generated content is provided "AS IS" without any warranty of accuracy, completeness, reliability, or fitness for any particular purpose. AI may produce incorrect, misleading, incomplete, or inappropriate content.
  • Your Responsibility: You are solely responsible for reviewing, editing, verifying, and approving all AI-generated content before use, publication, or distribution. You must not rely on AI-generated content without independent verification.
  • Third-Party Processing: Your inputs (prompts, handbook content, uploaded documents) are transmitted to third-party AI providers for processing. By using AI features, you consent to this transmission and processing.
  • Data You Submit: You must not submit to AI features: (a) personal data of third parties without proper authorization, (b) protected health information (PHI), (c) financial account numbers or payment card data, (d) trade secrets or confidential information you are obligated to protect, (e) content that violates applicable laws or third-party rights.
  • No Legal, Medical, or Professional Advice: AI-generated content does not constitute legal, medical, financial, or other professional advice. Consult qualified professionals for such matters.
  • Intellectual Property: You retain ownership of content you create using AI features, subject to any rights of third parties. You are responsible for ensuring AI-generated content does not infringe third-party intellectual property rights.

Prohibited Content

You agree not to use the Service to create, store, or distribute content that:

  • Violates any applicable law or regulation
  • Infringes intellectual property rights of others
  • Contains malware, viruses, or harmful code
  • Is defamatory, harassing, threatening, or discriminatory
  • Promotes illegal activities or violence
  • Contains personal data of others without proper consent

4. Plans, Billing, and Cancellations

  • We offer a free registration plan with limited usage (e.g., up to 10,000 AI-generated words and restrictions on handbooks and features). Limits may change over time.
  • Paid subscriptions unlock higher limits and premium features. Pricing and plan details are available in-app.
  • Subscriptions renew automatically at the end of each billing period unless cancelled.
  • You can cancel at any time; cancellation takes effect at the end of the current billing period.
  • Payments are non-refundable once billed, except where required by applicable law.

5. Data Retention and Deletion (Slack Integration)

If you connect Slack, we retain only the data necessary to operate the integration:

  • OAuth tokens and workspace identifiers are retained while the integration is active; tokens are removed within 24 hours after uninstall/disconnect and related installation metadata within 30 days.
  • Command/mention payloads are processed transiently to produce answers and are not stored as message content.
  • You may uninstall at any time to stop processing and trigger deletion of credentials; you can also contact support for deletion requests consistent with applicable law.

6. Disclaimer & Limitation of Liability

DISCLAIMER OF WARRANTIES

THE SERVICE, INCLUDING ALL AI-GENERATED CONTENT, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT:

  • The Service will be uninterrupted, secure, or error-free
  • AI-generated content will be accurate, complete, reliable, or suitable for any purpose
  • Results obtained through the Service will meet your requirements
  • Any errors in the Service will be corrected

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • HandbookHub, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, data, or other intangible losses.
  • Our total aggregate liability for all claims arising from or relating to the Service shall not exceed the greater of: (a) the amounts you paid to us in the twelve (12) months preceding the claim, or (b) one hundred euros (€100).
  • We are not liable for any damages arising from: (i) your use or reliance on AI-generated content, (ii) decisions made based on AI-generated content, (iii) third-party AI provider actions or failures, (iv) content you create, publish, or distribute using the Service.

These limitations apply regardless of the legal theory (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

6a. Indemnification

You agree to indemnify, defend, and hold harmless HandbookHub, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:

  • Your use of the Service or AI-generated content
  • Content you create, upload, publish, or distribute through the Service
  • Your violation of these Terms or any applicable law
  • Your violation of any third-party rights, including intellectual property rights
  • Any claim that content you created or published using the Service caused damage to a third party

7. Termination

Our Right to Terminate

We reserve the right to suspend or terminate your access to the Service immediately and without prior notice if:

  • You violate these Terms or any applicable law
  • You engage in fraudulent, abusive, or illegal activity
  • Your use poses a security risk to the Service or other users
  • Required by law or legal process
  • Your account has been inactive for an extended period
  • We discontinue the Service (with reasonable notice where practicable)

Your Right to Terminate

You may terminate your account at any time through your account settings or by contacting support.

Effect of Termination

Upon termination:

  • Your right to access the Service ceases immediately
  • We may delete your account data after a reasonable retention period (typically 30 days), except where retention is required by law
  • Provisions that by their nature should survive termination shall survive, including: Sections 2 (Intellectual Property), 6 (Disclaimer & Limitation of Liability), 6a (Indemnification), 8 (Governing Law), and 17 (Dispute Resolution)
  • We are not liable for any loss of data resulting from termination
  • Outstanding payment obligations remain due

8. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of Hungary, without regard to its conflict of laws principles. Subject to Section 17 (Dispute Resolution), any disputes shall be subject to the exclusive jurisdiction of the courts of Budapest, Hungary.

9. Changes to Terms

We may update these Terms from time to time. Updates will be posted on this page with a new effective date. Continued use of the Service after changes constitutes acceptance.

11. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

12. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms you agree to when using specific features, constitute the entire agreement between you and HandbookHub regarding the Service and supersede all prior agreements and understandings.

13. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by HandbookHub.

14. Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

15. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, pandemics, strikes, or failures of third-party services (including AI providers).

16. Third-Party AI Services

You acknowledge that the Service relies on third-party AI services (including OpenAI) that are beyond our control. We are not responsible for:

  • Changes to third-party AI provider policies or services
  • Temporary or permanent unavailability of AI features due to third-party issues
  • Actions taken by AI providers regarding content or accounts
  • Quality, accuracy, or availability of AI-generated outputs

We reserve the right to change AI providers at any time without notice.

17. Dispute Resolution

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Informal Resolution First

Before initiating any formal dispute proceeding, you agree to first contact us at alex@handbookhub.com and attempt to resolve the dispute informally for at least 30 days. Most disputes can be resolved this way.

Binding Arbitration

If we cannot resolve a dispute informally, you and HandbookHub agree to resolve any claims relating to these Terms or the Service through final and binding arbitration, except as set forth below. The arbitration shall be conducted under the rules of the Hungarian Chamber of Commerce and Industry (MKIK) or another mutually agreed arbitration body.

  • Arbitration shall take place in Budapest, Hungary, or remotely via video conference at your election
  • The arbitrator's decision shall be final and binding
  • Judgment on the arbitration award may be entered in any court of competent jurisdiction
  • The arbitrator may award the same damages and relief as a court

Exceptions to Arbitration

Either party may:

  • Bring qualifying claims in small claims court
  • Seek injunctive or other equitable relief in court for intellectual property infringement or unauthorized access

Class Action Waiver

YOU AND HANDBOOKHUB AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

Unless both you and HandbookHub agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of class, collective, or representative proceeding.

Opt-Out Right

You may opt out of this arbitration agreement by sending written notice to alex@handbookhub.com within 30 days of first accepting these Terms. Your notice must include your name, email, and a clear statement that you wish to opt out of arbitration.

18. Service Modifications and Availability

Right to Modify

We reserve the right at any time to:

  • Modify, suspend, or discontinue any part of the Service (temporarily or permanently)
  • Change features, functionality, pricing, or usage limits
  • Impose limits on certain features or restrict access to parts of the Service

We will endeavor to provide reasonable notice of material changes, but are not obligated to do so except where required by law.

No Liability for Modifications

We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service. You agree that we have no obligation to maintain, support, or update any feature or functionality.

Scheduled Maintenance

We may perform scheduled or emergency maintenance that temporarily affects Service availability. We will attempt to provide advance notice when practicable.

19. Beta and Experimental Features

From time to time, we may offer beta, preview, or experimental features ("Beta Features"). By using Beta Features, you acknowledge:

  • Beta Features are provided "AS IS" without any warranties
  • Beta Features may be unstable, contain bugs, or cause data loss
  • We may discontinue Beta Features at any time without notice
  • Feedback you provide about Beta Features may be used without compensation or attribution
  • The limitations of liability in Section 6 apply with particular force to Beta Features

20. Export Control and Sanctions Compliance

You agree to comply with all applicable export control laws and regulations, including:

  • U.S. Export Administration Regulations (EAR)
  • EU export control regulations
  • Sanctions programs administered by relevant authorities (OFAC, EU, UN)

You represent that you are not:

  • Located in, or a national or resident of, any country subject to comprehensive sanctions
  • On any restricted party list (SDN, Entity List, etc.)
  • Acting on behalf of any restricted party or government

We reserve the right to restrict access from sanctioned jurisdictions without liability.

21. Feedback and Suggestions

If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service without any obligation to you.
